THESE TERMS CREATE A BINDING CONTRACT BETWEEN YOU AND SHANGHAI NUMINA INTELLIGENT TECHNOLOGY CO., LTD.

Please read these Terms carefully before purchasing, downloading, installing, accessing, or using LitWason Focus, any related LitWason NFC device, or related services.

Important Notice

These Terms of Service (the "Terms") are written for publication with the LitWason Focus mobile application, website, and related NFC hardware. They are intended as a practical template and should be reviewed by qualified legal counsel before publication or use in a specific jurisdiction.

1. Acceptance and Eligibility

1.1 Agreement to Terms

By purchasing, downloading, installing, accessing, or using LitWason Focus, any compatible LitWason NFC device, our website, customer support, or any related products or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

These Terms constitute a legally binding agreement between you and Shanghai Numina Intelligent Technology Co., Ltd. ("LitWason," "we," "us," or "our"). If you do not agree to these Terms, do not use the Services.

1.2 Eligibility Requirements

You must be at least 18 years old to independently use the Services, create an account, or enter into these Terms. If you are between 13 and 17 years old, or the applicable age of digital consent in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian.

By allowing a minor to use the Services, the parent or legal guardian agrees to these Terms on behalf of the minor and accepts responsibility for the minor’s use of the Services.

1.3 Legal Capacity and Authority

You represent and warrant that you have the legal capacity and authority to enter into these Terms; that you are not prohibited from using the Services under applicable law; and that all information you provide to us is accurate, complete, and current.

If you use the Services on behalf of a company, school, family, or other organization, you represent that you have authority to bind that organization to these Terms.

1.4 Geographic Availability

The Services may be available in multiple countries or regions, subject to local laws, platform rules, device compatibility, and technical limitations. You are responsible for ensuring that your use of the Services complies with applicable laws in your jurisdiction.

1.5 Prohibited Users

The Services are not available to individuals or entities that are prohibited by applicable law, export control rules, economic sanctions, or platform policies from using the Services. We may restrict or terminate access where legally required or reasonably necessary to protect the Services.

What this means: You must be old enough and legally allowed to use the Services. By using LitWason Focus or related NFC hardware, you agree to these Terms and our Privacy Policy.

2. Description of Services

2.1 Overview of the LitWason Focus System

LitWason Focus is a digital wellness and focus management system that combines mobile software with a compatible LitWason NFC device. The system is designed to help users reduce digital distractions, create focus modes, limit selected apps or websites, track focus sessions, and use physical NFC verification to start, confirm, or unlock focus restrictions.

2.2 Hardware Component

The compatible LitWason NFC device is a physical device that communicates with supported smartphones through Near Field Communication (NFC). The device is intended to create a physical action point for starting, verifying, or unlocking focus-related functions.

2.3 Mobile Application

The LitWason Focus mobile application serves as the control interface for the Services. Through the App, users may create custom focus modes, select apps or websites to restrict, configure focus schedules, review session history, manage NFC device pairing, and adjust account or notification settings.

2.4 Core Functionality

The Services may include app restriction, website restriction, focus timers, focus schedules, activity logs, NFC verification, notifications, account management, cloud synchronization, and customer support. Specific functionality may vary depending on platform, device model, operating system version, region, permissions, and software updates.

2.5 Compatibility and Requirements

The Services require a compatible smartphone with supported NFC functionality, an up-to-date supported operating system, App Store or other platform access for installation and updates, network connectivity for account and cloud features, and any device permissions required for focus and restriction features.

2.6 Service Availability and Changes

We may modify, suspend, discontinue, or limit any feature of the Services at any time, with or without notice, where reasonably necessary for security, legal compliance, technical improvement, business operations, or platform requirements.

2.7 Beta or Experimental Features

From time to time, we may offer beta, experimental, trial, or early-access features. These features may be incomplete, unstable, or changed without notice and are provided on an "as is" and "as available" basis.

What this means: LitWason Focus is an app and NFC-device system for focus management. It helps users configure app and website restrictions, track focus time, and use NFC verification as a physical control step.

3. Screen Time, NFC, and User Responsibility

3.1 Platform Permissions

The App may rely on system permissions and frameworks such as NFC access, notifications, Screen Time, Family Controls, Managed Settings, Device Activity, or similar operating-system features. If you deny, revoke, or disable required permissions, some features may not work.

3.2 Operating System Limitations

App and website restriction features depend on Apple, Google, device manufacturers, and other platform providers. Operating-system updates, app updates, policy changes, permission changes, or technical limitations may affect the availability or reliability of restriction features.

3.3 Emergency and Essential Access

You are responsible for configuring the Services in a safe and appropriate way. You should not block access to apps, websites, contacts, or services that may be needed for emergency, medical, navigation, safety, employment, school, banking, authentication, or other essential purposes.

The Services are not designed for emergency response, medical care, mental health treatment, crisis prevention, parental control enforcement, law enforcement, workplace monitoring, or other safety-critical uses.

3.4 NFC Device Placement and Access

You are responsible for keeping the NFC device in a location that is safe and appropriate for your intended use. If you lose access to your NFC device, certain focus or unlock functions may not operate as expected. We may provide recovery, reset, or support procedures, but we cannot guarantee immediate access restoration in all circumstances.

3.5 User Control and Responsibility

The Services are intended to support personal focus and digital wellness. They do not guarantee that you will reduce phone use, improve productivity, complete tasks, change habits, or achieve any particular outcome. You remain responsible for your choices, settings, device use, and compliance with applicable laws and policies.

What this means: The App depends on phone permissions and platform features. Do not block anything you may need in an emergency. LitWason Focus supports focus habits but does not guarantee productivity or safety outcomes.

4. Prohibited Uses

4.1 General Restrictions

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in a way that harms us, other users, third parties, networks, devices, or applicable platform providers.

4.2 Technical Violations

You may not reverse engineer, decompile, disassemble, copy, modify, publicly display, republish, sell, license, disclose, or create derivative works from the Services, including hardware design, software code, algorithms, NFC implementation, user interface, or related technology, except where such restrictions are prohibited by applicable law.

4.3 Security Circumvention

You may not circumvent, disable, damage, overload, interfere with, or attempt to compromise security-related features, access controls, platform permissions, account systems, APIs, servers, or any technical measures used to operate or protect the Services.

4.4 Automated Access and Data Harvesting

You may not use robots, spiders, scrapers, automated tools, or other unauthorized methods to access, monitor, copy, harvest, or collect data from the Services.

4.5 Misuse and Fraud

You may not impersonate another person, misrepresent your identity or affiliation, submit false information, use the Services for fraud, violate others’ privacy, upload malicious software, send spam, or engage in illegal, harmful, abusive, threatening, defamatory, obscene, harassing, or infringing activities.

4.6 Unauthorized Commercial Use

Unless expressly authorized by us in writing, you may not resell, sublicense, rent, lease, distribute, host, offer managed services, or use the Services for commercial monitoring, enterprise management, or third-party service purposes.

4.7 Enforcement

We may investigate suspected violations and may suspend, restrict, or terminate access to the Services, remove content, refuse support, or report activity to law enforcement or platform providers where appropriate.

What this means: Use the Services as intended. Do not hack, copy, overload, resell, abuse, or use them for illegal or harmful purposes.

5. Accounts and Security

5.1 Account Creation

To use certain features, you may need to create an account and provide accurate, complete, and current information, including a valid email address. You agree to keep your account information up to date.

5.2 Account Credentials

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your password or allow unauthorized users to access your account.

5.3 Account Activity

We may treat actions taken through your account as authorized by you. This includes device pairing, focus mode configuration, app or website restriction settings, use of recovery features, and account updates.

5.4 Security Notice

You must notify us promptly at support@litwason.com if you suspect unauthorized account access, device pairing, password compromise, security breach, or misuse of your account.

5.5 Account Suspension

We may suspend or restrict your account if we detect suspicious activity, security risks, violations of these Terms, legal concerns, or platform compliance issues. We may notify you where reasonable and lawful.

5.6 Account Closure

You may stop using the Services at any time. You may request account deletion or closure by contacting us. Data retention and deletion will be handled in accordance with our Privacy Policy and applicable law.

What this means: You are responsible for your account and settings. Keep your login information secure and tell us if something suspicious happens.

6. Mobile Application Terms

6.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on devices that you own or control, solely for your personal, non-commercial use and in connection with the Services.

6.2 App Store and Platform Terms

If you download the App from the Apple App Store, Google Play, TestFlight, or another distribution platform, your use of the App is also subject to that platform’s terms, rules, and policies. These Terms are between you and LitWason, not with Apple, Google, or any other platform provider, except to the extent platform terms provide otherwise.

For App Store versions, Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the App, and upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary to the extent required by Apple’s applicable terms.

6.3 Updates

We may provide updates, patches, bug fixes, security improvements, or new features. Some updates may be required for proper operation. If you do not install updates, the Services may not work correctly or may become unavailable.

6.4 Mobile App Restrictions

You may not copy, modify, distribute, sell, rent, lease, sublicense, reverse engineer, decompile, disassemble, remove proprietary notices, bypass security features, or use the App for any purpose not permitted by these Terms, except to the extent such restrictions are prohibited by applicable law.

6.5 Data and Connectivity

Certain features require internet access, cloud services, account authentication, or communication with our servers. You are responsible for carrier data charges, internet fees, roaming charges, and device costs related to your use of the Services.

6.6 Third-Party Code and Open Source

The App may include third-party or open-source software components. Such components may be subject to separate license terms. Nothing in these Terms limits rights you may have under applicable open-source licenses.

What this means: You receive a limited license to use the App. App Store and platform rules still apply. Updates may be needed for the App to work properly.

7. Billing, Payments, and Purchases

7.1 Current Payment Structure

Unless otherwise stated, LitWason Focus may be provided in connection with a one-time purchase of compatible LitWason NFC hardware. The App may be offered at no additional charge as part of the product experience. We may offer paid features, subscriptions, premium services, or in-app purchases in the future only on clear terms presented at the time of purchase.

7.2 Purchase Authorization

By purchasing LitWason hardware, digital services, or related products, you authorize the applicable seller or payment processor to charge your selected payment method for the purchase price, taxes, shipping, handling, and any other charges disclosed at checkout.

7.3 Third-Party Marketplaces

If you purchase through Apple, Amazon, Shopify, Google, or another third-party marketplace or retailer, your payment, taxes, order processing, returns, and refunds may be governed by that third party’s terms and policies.

7.4 Taxes and International Charges

You are responsible for applicable taxes, duties, customs fees, currency conversion charges, bank fees, import charges, and other governmental or third-party charges related to your purchase or use of the Services.

7.5 Future Paid Features

If we offer paid subscriptions or premium features in the future, we will provide pricing, renewal, cancellation, and refund terms before you purchase. Any App Store or in-app purchase will also be subject to the applicable platform’s payment and refund policies.

7.6 Billing Disputes

If you believe a charge is incorrect, please contact us or the applicable marketplace promptly. Fraudulent chargebacks, payment abuse, or misuse of promotions may result in account suspension or termination.

What this means: Right now, the app may be tied to a hardware purchase. If purchases are made through Apple, Amazon, or another platform, that platform’s payment and refund rules may apply.

8. Refunds, Returns, and Defective Products

8.1 Direct Purchases

For products purchased directly from LitWason or an official LitWason website, refund and return eligibility will be governed by the return policy shown at the time of purchase, unless otherwise required by applicable law.

8.2 Third-Party Purchases

For products purchased through third-party retailers or marketplaces, including Amazon or Apple, refunds and returns are generally handled by that retailer or marketplace under its policies.

8.3 Defective Hardware

If your LitWason NFC device appears defective, damaged on arrival, or unable to perform its intended NFC function under normal use, contact us at support@litwason.com with your order information, issue description, and relevant photos or videos. We may provide troubleshooting steps, replacement options, or other remedies depending on the circumstances, applicable law, and purchase channel.

8.4 Non-Refundable Items

Unless required by law or stated at purchase, certain items may not be refundable, including used or damaged products, unauthorized reseller purchases, expedited shipping fees, customs duties, and digital services after access has been provided.

8.5 Consumer Rights

Nothing in these Terms limits mandatory consumer protection rights that cannot be waived under applicable law.

What this means: Return and refund rules depend on where the product was purchased. Contact LitWason support for defective hardware, but third-party marketplaces may control refunds.

9. Intellectual Property

9.1 LitWason Proprietary Rights

All rights, title, and interest in the Services, including the App, software, source code, algorithms, NFC implementation, hardware design, user interface, graphics, text, trademarks, logos, trade names, service marks, copyrights, patents, trade secrets, know-how, and other intellectual property are owned by LitWason or our licensors.

9.2 Limited User License

You receive only a limited right to use the Services as expressly permitted by these Terms. You do not acquire ownership of any LitWason intellectual property.

9.3 Restrictions on Company Content

You may not copy, modify, distribute, publicly display, publicly perform, publish, adapt, sell, license, reverse engineer, or create derivative works from any part of the Services unless expressly permitted in writing by us or required by applicable law.

9.4 Feedback

If you provide feedback, ideas, suggestions, bug reports, reviews, or recommendations, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them for any lawful business purpose, including improving, developing, marketing, and supporting the Services, without compensation to you.

9.5 Aggregated or De-Identified Data

We may use aggregated or de-identified data derived from use of the Services for analytics, reporting, product improvement, research, and business purposes, as described in our Privacy Policy.

9.6 Third-Party Intellectual Property

The Services may incorporate third-party software, SDKs, APIs, trademarks, or other materials. Your use of such third-party materials may be subject to separate terms.

9.7 Trademark Rights

LitWason, LitWason Focus, related names, logos, and branding are trademarks or proprietary marks of LitWason or our affiliates. You may not use our trademarks without our prior written permission.

9.8 Copyright Complaints

If you believe content in the Services infringes your copyright, contact us at support@litwason.com with sufficient detail for us to review the claim.

What this means: LitWason owns the App, hardware design, brand, and related technology. You may use the Services, but you may not copy, hack, resell, or misuse LitWason intellectual property.

10. Privacy and Communications

10.1 Privacy Policy

Our collection, use, storage, sharing, and protection of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

10.2 Electronic Communications

By creating an account, contacting us, or using the Services, you consent to receive electronic communications from us, including account messages, security alerts, product updates, service notices, legal notices, and support responses.

10.3 Marketing Communications

If you choose to receive marketing communications, you may opt out by following unsubscribe instructions or contacting us. You may still receive non-promotional service, security, legal, or account communications.

10.4 Communication Security

Email and electronic communications may not be fully secure. Do not send passwords, payment card numbers, or highly sensitive information by email.

10.5 Mobile Data Charges

You are responsible for any mobile data, SMS, roaming, internet, or carrier charges related to your use of the Services or receipt of communications.

What this means: Our Privacy Policy explains how data is handled. We may send service emails and important notices. You can opt out of marketing but not essential service messages.

11. Disclaimers and Warranties

11.1 Hardware Support

We aim to provide reliable LitWason NFC hardware. If hardware does not function under normal use, we may provide troubleshooting, repair, replacement, or other remedies as required by applicable law or our published support policies.

11.2 Services Provided As Is

Except as expressly stated by us or required by law, the Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, and uninterrupted operation.

11.3 No Guaranteed Results

We do not guarantee that the Services will block every app or website, prevent all distractions, improve productivity, improve mental health, reduce phone usage, or achieve any specific result.

11.4 Compatibility and Platform Changes

We do not guarantee compatibility with all devices, apps, websites, operating systems, versions, regions, or platform policies. App blocking, website blocking, NFC scanning, notifications, and Screen Time-related features may be affected by platform updates or third-party changes.

11.5 No Professional Advice

The Services are designed for productivity and digital wellness support only. They do not provide medical, psychological, legal, educational, employment, emergency, or professional advice.

11.6 Third-Party Services

We do not warrant or control third-party services, app stores, mobile networks, payment processors, analytics tools, cloud providers, or apps/websites that you choose to restrict or access.

11.7 Consumer Rights

Nothing in these Terms limits mandatory rights you may have under applicable consumer protection laws.

What this means: Technology may not always work perfectly, especially when phone platforms change. LitWason Focus supports focus, but it cannot guarantee specific outcomes.

12. Limitation of Liability

12.1 General Limitation

To the maximum extent permitted by applicable law, LitWason, our affiliates, directors, officers, employees, contractors, suppliers, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business, reputation, or opportunity arising out of or related to the Services.

12.2 Liability Cap

To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to the Services will not exceed the greater of: (a) the amount you paid directly to LitWason for the Services in the six months before the event giving rise to the claim; or (b) USD $100. This cap does not limit liability that cannot be limited under applicable law.

12.3 Hardware and Device Limitations

We are not responsible for damage, loss, or injury caused by misuse of the NFC device, improper placement, unauthorized modification, third-party accessories, device incompatibility, user configuration, or failure to maintain access to essential apps or emergency services.

12.4 Third-Party Dependencies

We are not responsible for failures, interruptions, or limitations caused by app stores, mobile operating systems, device manufacturers, cloud providers, networks, payment processors, shipping carriers, third-party applications, websites, or other services outside our control.

12.5 Time Limit for Claims

Unless prohibited by law, any claim arising out of or related to the Services must be brought within one year after the event giving rise to the claim.

What this means: If something goes wrong, our liability is limited to the amount allowed by law and usually no more than what you paid for the Services or USD $100.

13. Indemnification

13.1 User Responsibility

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LitWason and our affiliates, directors, officers, employees, contractors, licensors, suppliers, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your violation of these Terms, your violation of law, your infringement of third-party rights, your misuse of the Services, your user content or feedback, or another person’s use of the Services through your account.

13.2 Limitations

This indemnification obligation does not apply to the extent a claim is caused by our gross negligence, willful misconduct, or violation of applicable law, or where such indemnification is not enforceable under applicable consumer law.

13.3 Cooperation

We will provide reasonable notice of indemnified claims where practicable and may participate in the defense with counsel of our choice. You may not settle any claim in a way that imposes liability, admission, or obligation on us without our prior written consent.

What this means: If your misuse of the Services creates legal problems for LitWason, you may be responsible for related costs where allowed by law.

14. Dispute Resolution

14.1 Informal Resolution First

Before starting arbitration, court proceedings, or any formal dispute process, you agree to contact us at support@litwason.com and provide a description of your dispute, relevant facts, and the relief you seek. We will try to resolve the dispute in good faith within 60 days after receiving your notice.

14.2 Governing Law

Except where mandatory consumer protection law requires otherwise, these Terms and any dispute arising out of or related to the Services will be governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules.

14.3 Arbitration Where Permitted

Except where prohibited by applicable law, any dispute that cannot be resolved informally will be submitted to the Shanghai International Arbitration Center (SHIAC) for final and binding arbitration in Shanghai, China, in accordance with the rules then in effect. The arbitration language may be English or Chinese, as determined by the tribunal or agreed by the parties.

14.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief to protect intellectual property, confidential information, security, or to prevent unauthorized use of the Services. Nothing limits rights that cannot be waived under applicable consumer law.

14.5 Class Action Waiver

To the maximum extent permitted by applicable law, disputes must be brought only on an individual basis and not as a plaintiff, class member, or representative in any class, collective, consolidated, or representative proceeding.

14.6 Jurisdiction-Specific Rights

If applicable law gives you the right to bring claims in your local courts or prevents arbitration, the mandatory local law will apply to the extent required.

What this means: Contact us first if there is a dispute. If the issue cannot be resolved, disputes may be handled through arbitration where allowed by law, while mandatory consumer rights remain protected.

15. Termination

15.1 Termination by You

You may stop using the Services at any time by deleting the App, discontinuing use of the NFC device, and requesting account closure where applicable.

15.2 Termination by Us

We may suspend, restrict, or terminate your access to the Services at any time if you violate these Terms, create legal or security risks, misuse the Services, fail to pay amounts owed, or if continued access is not commercially, legally, or technically feasible.

15.3 Effect of Termination

Upon termination, your license to use the App and Services ends. You must stop using the Services and delete copies of the App where required. Certain provisions of these Terms will survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions.

What this means: You may stop using the Services, and we may terminate access if these Terms are violated or access becomes unsafe or unlawful.

16. Third-Party Services

16.1 Third-Party Integrations and Links

The Services may integrate with or link to third-party websites, apps, app stores, payment processors, cloud providers, analytics services, support tools, or other services. We are not responsible for third-party content, policies, performance, privacy practices, or terms.

16.2 App Stores

Your relationship with Apple, Google, or another app store is governed by that platform’s terms and policies. We are not responsible for platform fees, outages, policy changes, review decisions, payment processing, refunds, or restrictions imposed by app stores.

What this means: Some parts of the experience may depend on third parties like app stores, cloud providers, or payment processors. Their rules also apply.

17. Export Controls and Compliance

17.1 Export Laws

The Services, software, and hardware may be subject to export control, sanctions, customs, and import laws. You agree to comply with all applicable laws and not export, re-export, transfer, or use the Services in prohibited countries, with prohibited parties, or for prohibited purposes.

17.2 Local Compliance

You are responsible for compliance with local laws that apply to your purchase, possession, import, export, and use of LitWason hardware and software.

What this means: You must follow export, sanctions, customs, and local laws when using or transferring LitWason products.

18. Changes to the Services and Terms

18.1 Service Changes

We may update, change, suspend, discontinue, or limit the Services for security, legal, technical, business, or platform-related reasons.

18.2 Terms Updates

We may modify these Terms from time to time. If changes are material, we may provide notice through the App, website, email, or other reasonable method. The updated Terms will be effective on the date stated in the updated version.

18.3 Continued Use

Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Services.

What this means: We may update the App, services, and terms. Continued use after changes means you accept the new terms.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented at purchase or in the App, constitute the entire agreement between you and LitWason regarding the Services.

19.2 Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in effect.

19.3 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

19.4 Assignment
